Affilo: terms for brands
These terms are between you (the brand) and Affilo (the company, being incorporated in England and Wales; “Affilo”, “we”). They cover listing your products on Affilo, what you pay, and the rights you get in makers’ work.
1. What we provide
A marketplace where you list products with a commission rate, vetted creators and designers (“makers”) take them and post about them on their own accounts, and every sale their links, codes, tags or your boosted ads bring in is credited to the maker who brought it. We track the sales on your store, work out what each maker is owed, invoice you weekly, and pay the makers when you pay.
Tools for your team: your rulebook, script and work approval, results by maker, post and product, and one-click boosting of a maker’s post as a partnership ad from your own ad account.
If you buy it, the managed service: our reviewers check scripts and work against your rulebook, and our talent team recruits makers for your briefs. You keep the final say on everything.
2. What you pay
Commission. The rates you set on each product: an open rate for any maker, an invited rate for makers you invite, a boosted rate for sales through your own ads, and, if you offer it, an exclusive rate for makers who agree to take no rival product in your category on Affilo for a term you set (30, 90 or 180 days). A maker accepts or declines exclusivity; while it runs we don’t recommend that maker to rivals in your category. It restricts nothing off Affilo. On the order’s value after discounts and excluding VAT and shipping. A rate is fixed for a maker when they take the product, and for a boost when you boost it; you can change a product’s rates for the future, not for links or boosts already live.
Affilo’s fee. A share of all commission, agency fees and flat pay on each invoice, on top, set by your category band: 15% for the first 5 brands in your category, 20% for the next 20, and 25% for every brand after. Your band is locked for 12 months from the day you join, then moves to your category’s band at the time. A paid plan takes points off your band: 5 on Growth and 10 on Scale, never below 8% on Scale. Managed is charged at your band. The plans, their prices and the bands are on our pricing page. No sale, no fee.
Boosted spend. A share of the ad spend on posts and work you run as ads through Affilo: 1.25% on Free, 1% on Growth, and 0.75% on Scale and Managed.
Agency fee. An agency that brings you to Affilo also receives a share of our fee under 2.2 for 12 months; that comes out of our fee, not yours. If an agency runs your programme, you pay the agency the rate you agree with it, on the same sales as the commission. It is on top of the makers’ commission, never taken from them, shown on its own line, and carries Affilo’s fee like commission.
Flat pay. If you turn them on: launch rates for new makers, up to your monthly cap. Unused fees under section 4.4. Both carry Affilo’s fee.
Managed service. Only if you choose it. Managed, £1,250 a month: up to 150 reviews a month within one working day and recruiting for up to 2 briefs. Managed Plus, £2,950 a month: up to 500 reviews, recruiting for every brief, and a named lead. Further reviews £4 each. Billed monthly in advance; cancel with 30 days’ notice.
Billing. We charge you weekly, by card or Direct Debit, for everything credited since the last charge, net of refunds clawed back. Fees are plus VAT where it applies. Commission and agency fees are passed to the makers and agency; we collect them as their limited payment collection agent.
Late payment. If a charge fails, we retry. If it’s still unpaid 14 days after we tell you, we can pause your products and your right to run makers’ work, and charge statutory interest on late commercial payments.
3. Attribution
An order is credited to the maker whose link, tag or ad was tapped most recently before it, within your click window (7 days unless you set another), or, with no such tap, to the maker whose personal code is on the order. One maker per order. You see which it was on every order.
You must install and keep our Shopify pixel and checkout app, which write the maker onto the order on your own store. Removing them, or changing the tracking parameters or ad names on boosted ads, breaks attribution; sales lost that way are still owed if we can establish them from other data.
You give us read access to orders, refunds and discount codes on your store, and to the ad accounts you boost from, for as long as you have live links or ads and 90 days after.
Audit. You can ask, once a quarter, for the order-level data behind your charges. We can ask, once a year, to check your store records against what your connection sends us.
4. Makers’ work
Posts. A maker’s own post is theirs. By listing a product you may show makers’ posts, with their names, in your results and on Affilo; you get no other rights in a post unless the maker agrees to a boost.
Boosts and approved work. When a maker agrees to a boost, or you approve work submitted to your ad programme, you have a licence to use, edit, crop, caption, translate and run it in your advertising and on your channels, worldwide, for as long as you pay commission on it, plus 90 days. If you stop paying, you must stop running it.
Rulebook. You publish on each product the claims you allow and ban and the disclosure wording you require. You approve scripts and work yourself unless you buy the managed service. You are responsible for the claims you approve; Affilo flags, it never approves. We never say “ASA-approved”.
Running approved work. Approving work submitted to your ad programme means you intend to run it. If you haven’t launched it in a tagged ad within 30 days, you pay its makers an unused fee, once: £25 for a video, £15 for a static. You keep the licence. You can release work within 7 days of approving it at no cost, after which you can’t run it. Makers can see what share of the work you approve you run within 30 days.
5. Advertising rules
You are responsible for every ad you run and every claim in it complying with the CAP Code, the law and the ad platforms’ policies. Every maker’s post that carries a link, code or tag must carry “#ad” or the paid-partnership label; where you boost a post, you must use the partnership-ad format.
You must not ask makers to make claims you haven’t approved, or to post or say anything misleading.
6. Makers
Makers work for themselves, not for you or us. You must not treat them as your employees or ask for exclusivity through Affilo.
Working with makers you met here. For 12 months after a maker first takes one of your products, if you pay that maker directly for work that would otherwise have gone through Affilo, you’ll pay us the fee under 2.2 on that work as if it had. You can end this for any maker by paying a one-off fee of £500.
You reply to makers’ messages within 5 working days. Your average reply and review times are shown to makers.
7. Data
Brands we own. Where a brand on Affilo is owned by the Affilo company or its owners, it pays the same fees as any brand in its category band, is shown as ours in the marketplace, is recommended on the same terms as everyone else, and its team sees only its own data, exactly as yours does. We’ll tell you which brands those are.
We use your data to run the service, as set out in our privacy notice. Order-level data is shared with a maker only for orders credited to them. Aggregate, anonymised data on what sells across Affilo is ours.
8. Term and ending
These terms run until either of us ends them. You can delist products at any time; live links keep paying on sales already in flight, and boosted ads keep paying for as long as you run them.
Either of us can end these terms with 30 days’ notice. We can end them straight away for non-payment or a serious breach. Ending doesn’t cancel what you owe, or the licences on work you keep running.
9. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything the law doesn’t allow to be limited.
Otherwise, our total liability to you in any 12 months is limited to the fees you paid us under 2.2, 2.3 and 2.6 in that period, and we’re not liable for loss of profit, sales, data or reputation. We don’t guarantee any level of sales.
You indemnify us against claims arising from your products, your claims, and ads you approve or run.
10. General
These terms are the whole agreement between us about Affilo. We may update them with 30 days’ notice; no change applies to commission already earned. They are governed by the law of England and Wales and its courts decide disputes.
